Role: Company Secretary
Location: Bengaluru
Reporting: Managing Director
Core Skills: Legal and Statutory, Internal Policies, External Regulations and laws, Corporate governance, Corporate Filing, Corporate Records, and Corporate Administration.
Role:
The Company Secretary is responsible for ensuring corporate governance and compliance etc., Serve as a key advisor to the senior management, overseeing legal and regulatory compliance, corporate governance practices and organization administration.
Responsibilities
- Actively work on formation of various legal entities – pre-set up, set up and post-set up activities.
- Handle retainer activities on quarterly basis i.e., updating e-statutory register, prepare minutes of meeting of board of directors, prepare.
- Handle annual filings i.e., AOC4 & MGT7, DPT3, DIR3-KYC, MSME Filings, FLA etc.
- Good working knowledge related to Companies Act, FEMA, RBI & other Corporate Laws.
- Assist with handling one-time and event-based activities like – allotment of shares, transfer of shares, shifting of registered office, change in composition of directors, name change with ROC, amendment of MOA & AOA, declaration of dividends, applying to RBI for various matters etc.
- Assist clients in due diligence & post due diligence activities.
- Assist with liaison matters with various Government authorities, MCA, RBI & other agencies.
- Assist with drafting, opinions, advisory, reviews and audits of corporate law engagements.
- Assist with drafting of agreements, MoU’s, LOE’s, contracts etc.
- Provide strategic consulting, advisory and support to corporate clients.
- Support the management on engagements & deliveries related to expertise & profession.
- Maintain and provide internal reports and trackers on work taken up, work completed, work in progress etc.,
Candidate profile:
- Bachelor’s degree in law, Business Administration or a related field.
- 5+ years of experience as a company secretary or a similar role in corporate governance and compliance.
- Strong knowledge of corporate law, regulations and governance principles.
- Familiarity with corporate governance codes and guidelines, such as the Companies Act and SEBI regulations.
- Experience with corporate secretarial software and tools for document management and compliance tracking.
- Excellent communication and interpersonal skills, with the ability to interact effectively with senior executives and board members.
- Ability to work independently and handle confidential information with discretion.
- Attention to detail and the ability to work effectively under pressure in a fast-paced environment.
